The following constitutes the original plans of the Trustees for the development of the demonstration project; as various activities are developed, they may or may not match these plans.

Panama Foundations, like US ones, may engage in profitable activities in addition to their non profit ones. These profitable activities or ventures are separate from the Foundation and will, we hope, yield profits to shareholders whereas the BICs will yield interest at a rate set by the Foundation. We foresee three ventures that should have separate companies to protect the overall community and create fund raising possibilities (the Panamanian Foundation will retain a majority interest in each):

1.Wellness Center and Product Lines – earns fees from provision of leading edge health services, guest housing for visitors coming for Eco tourism, health center and spa services, seminars and training programs, novel and innovative products and the income derived from people who come to experience the community. Associated commercial activities, such as “Valley of the Moon™” Organic Coffee, freeze dried herbs or healing lotions would be profit centers associated with this for-profit Corporation. Initially, the Foundation expects to sponsor seminars on site or nearby for Americans and others who want to learn about off-the-grid, Beyond Organic™ living and wellness options.

The Headquarters Finca in Volcan has several buildings being refurbished during 2009 to contain: (1) Headquarters Offices, (2) Seminar Facilities, (3) Wellness Center, BeyondOrganic Internet Cafe and our initial Greenhouses and farming facilities.

2. Beyond Organic™ Farm and Schools – This part of the project will provide food for our community and the local community as well. It may also generate fees from students and income from products. If we develop a school for our community members’ children and others, this could also be a significant income source. The approximately sixty acres of producing coffee is a significant start for the natural and Beyond Organic™ farm.

While the farm may eventually become profitable through the sale of food to distant markets (Boquete, David, Panama City, etc.) it is too early to realistically project this income stream. We anticipate that the profit generated will initially service part of the loans needed to purchase the land and community. We expect that specialty products, such as Organic Coffee (grown and managed by the Hartman Family, marketed by the wellness company and/or the Hartman Family) herbs and skin products, that people may want to “bring home with them” and continue buying for delivery by common carrier, can become a significant profit center.

3. Community Infrastructure/Construction – This activity of the for-profit structure will build homes using the greenest techniques possible and charge homesteaders and customers (including the above venture entities) for: home construction, the Community Center and other recreational facilities access, roads, power, phone service, independent (satellite) communications (including Internet), waste recycling, water and other infrastructure requirements. We are partnering with an experienced builder (an American who has built in Panama for a decade).

Current Status (2009)

We have purchased a Headquarters Fince (farm) near the Volcan area, in the Chiriqui Highlands. Our goal is to secure and develop 100 to 500 hectares of land needed for the project, and thereafter, to oversee the development. We currently also have a 22 Hectare Coffee Finca about 45 minutes from Volcan. We have an initial seed that will lead to our large seed...

As the Seed grows, the Foundation expects to sponsor seminars on site or nearby for Americans and others who want to learn about off the grid, better than organic living and wellness options. These would include Detoxification Lifestyle Seminars.

The Natural Solutions Seed Community is intended to be a Zero Emissions - Ecologically Sound demonstration project. This is a private, confidential and privileged communication to persons interested in supporting the work of the Foundation and is not an offer of securities or any investment. While the trustees and others involved have substantial experience in organizing projects, advanced health care options, developing real estate and community oriented commercial or nonprofit activities, there can be no guarantee that the project will materialize in the manner suggested in this initial informational memorandum. Final development will depend on funding, through donations, grants, beneficial interests and loans both from private sources and financial institutions, as well as legal development requirements.
